Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Kiyado Labs (“Kiyado Labs”, “we”, “us”). They cover your use of voxylo.cloud and the Voxylo platform, including the dashboard, APIs, embeddable widget, and the voice and chat agents you build with it (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.
1. Your account
You must be at least 16 years old and give us accurate account information. Keep your credentials and API keys secure. You are responsible for everything that happens under your account and workspace. If you suspect unauthorized access, tell us right away.
2. Using the Service
While you follow these Terms, we give you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes and to deploy agents to your own end users. You agree not to:
- Break any law, including laws on telemarketing, call recording, consent, consumer protection, and data protection.
- Place unsolicited, deceptive, or harassing calls or messages, or impersonate a person or organization.
- Use the Service to make decisions with legal or similarly significant effects on people without appropriate human review. Examples include medical, legal, financial, or emergency decisions.
- Upload content that infringes others’ rights or contains malware.
- Probe, disrupt, overload, or bypass the security of the Service, or reverse engineer it except where the law allows.
- Resell the Service or use it to build a competing product without our written permission.
You must also follow the usage policies of the AI model and telephony providers used by the agents you configure.
3. Your agents and end users
You decide how your agents behave, what they say, and whom they contact. You are responsible for:
- Telling your end users that they are talking to an AI system, where the law requires it.
- Getting any notices and consents you need, including consent to record or transcribe calls.
- Having a lawful basis to process your end users’ personal information.
When we process your end users’ personal information, we act as your processor. We process it only to provide the Service and as described in our Privacy Policy.
4. Your content
You keep all rights to the content you put into the Service. This includes prompts, knowledge base documents, and integration settings. It also includes the conversations your agents have (together, “Customer Content”). You give us a license to host, copy, process, and send Customer Content only as needed to provide, secure, and support the Service. We do not use Customer Content to train general-purpose AI models. You confirm that you have the rights needed to provide Customer Content to us.
5. AI output
Agents generate responses with machine learning models. These responses can be inaccurate, incomplete, or inappropriate. You are responsible for reviewing how your agents perform and for putting suitable safeguards in place, such as human handoff. Do not rely on AI output as professional advice.
6. Third-party services
The Service connects to third-party services, such as Google Drive, telephony carriers, AI model providers, and the APIs and webhooks you configure. Your use of those services is governed by their own terms. We are not responsible for third-party services or for data you choose to send to them.
7. Fees
Some parts of the Service may be paid or have usage limits. If you sign up for a paid plan, you agree to the pricing and payment terms shown when you subscribe. We will give you reasonable notice before we change prices for an existing subscription.
8. Our intellectual property
We and our licensors own the Service, including its software, design, and branding. These Terms give you no rights beyond those they state. If you send us feedback, we may use it without owing you anything.
9. Availability and changes
We work to keep the Service available and reliable, but it may sometimes be interrupted for maintenance, upgrades, or reasons outside our control. We may add, change, or remove features. If a change materially reduces what you rely on, we will try to give you advance notice.
10. Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if your use creates a security or legal risk, or if the law requires it. Where it is reasonable, we will notify you first. After termination, your right to use the Service ends and we delete Customer Content as described in our Privacy Policy. Sections that by their nature should survive termination will survive.
11. Disclaimers
To the extent the law allows, we provide the Service “as is” and “as available”, without warranties of any kind, whether express or implied. This includes warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Service will be error-free or uninterrupted.
12. Limitation of liability
To the extent the law allows, Kiyado Labs is not liable for indirect, incidental, special, consequential, or punitive damages. Kiyado Labs is also not liable for any loss of profits, revenue, data, or goodwill. Our total liability for all claims relating to the Service is limited to the greater of the amounts you paid us in the 12 months before the claim or USD 100. Nothing in these Terms limits liability that the law does not allow us to limit.
13. Indemnity
You will defend and indemnify Kiyado Labs against third-party claims that arise from your Customer Content, your agents’ interactions with end users, or your breach of these Terms or of applicable law.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in the Service before they take effect. If you keep using the Service after the changes take effect, you accept the updated Terms.
15. General
These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service. If any provision is found to be unenforceable, the rest of the Terms remain in effect. If we do not enforce a provision, we have not waived it. You may not assign these Terms without our consent. These Terms are governed by the laws of the jurisdiction where Kiyado Labs is established, excluding its conflict-of-law rules.
